General Terms and Conditions (GTC)

These General Terms and Conditions (GTC) form an integral part of the order confirmation or contract of beppo GmbH (hereinafter “beppo”) with the Client and govern all matters not expressly addressed therein. In the event of discrepancies, the text of the order confirmation or contract shall prevail. Any deviating provisions must be made in writing and must be expressly stated in the order confirmation or contract.

1. Definitions

Unauthorized parkers are persons who have unlawfully parked the vehicle they are using in a parking space, parking garage, or on premises of a client of beppo.

Fuel invoice debtors are persons who have signed an acknowledgment of debt for an unpaid fuel invoice with a client of beppo but have not yet settled such invoice.

Fuel offenders are persons who have refueled the vehicle they are using and subsequently left the filling station without paying their fuel invoice.

Fuel pump mix-up offenders are persons who have refueled the vehicle they are using and paid an incorrect fuel invoice.

2. Basis of the Business Relationship

The basis of the business relationship is a contract for the use of the services offered by beppo, in particular, but not limited to, platform-based management of parking spaces, parking garages, premises, filling stations, acknowledgments of debt, and penalty notices; the collection of keeper data of visitors, unauthorized parkers, fuel offenders, and fuel pump mix-up offenders; as well as the associated debt collection and filing of complaints. The respective current tariffs and conditions, these General Terms and Conditions, and, where applicable, additional special terms and contractual bases shall apply.

The legally entitled property owner and tenant, as well as their authorized representative (hereinafter “Client”), may have claims for disturbance of possession and, where applicable, civil law claims derived therefrom due to unlawfully parked vehicles on the parking space, parking garage, or premises.

Non-payment of fuel invoices by fuel invoice debtors, fuel offenders, and fuel pump mix-up offenders may be of criminal relevance or give rise to civil law claims.

3. Contract Duration and Termination

Contracts are concluded for an indefinite period and may be terminated by either party in writing with 30 days’ notice. Upon termination of the contract, the Client undertakes to return all materials provided within 10 days to beppo.

4. Services Provided by beppo

Subject to additional agreement, the provision of:

  • a smartphone application (beppo App)
  • a browser-based portal for unauthorized parkers, fuel offenders, fuel invoice debtors, and fuel pump mix-up offenders
  • a browser-based admin portal
  • penalty notices for unauthorized parkers
  • registration forms for fuel invoice debtors
  • invoices, reminders, and criminal complaints
  • a digital payment function for unauthorized parkers, fuel offenders, fuel invoice debtors, and fuel pump mix-up offenders
  • payment slips for unauthorized parkers, fuel offenders, fuel invoice debtors, and fuel pump mix-up offenders
  • digital documents required for filing a complaint against unauthorized parkers, fuel offenders, fuel invoice debtors, and fuel pump mix-up offenders if they fail to meet their payment obligations within the prescribed period
  • further supporting products, services, and assistance

beppo shall process objections raised by unauthorized parkers, fuel offenders, fuel invoice debtors, and fuel pump mix-up offenders as agreed with the Client. beppo is not obliged to enforce the collection of an expense compensation or a fuel invoice.

5. Prices and Goodwill

The amount of the expense compensation shall be determined by the Client in compliance with the applicable legal framework and the principle of proportionality.

Within the respective specified payment period, any recorded claim for expense compensation may be canceled free of charge by the Client. Thereafter, recorded expense compensation claims shall be invoiced to the Client in accordance with the respective individual agreement.

Unless otherwise agreed individually between the Client and beppo, the current price list shall apply to services related to unpaid fuel invoices.

Without an additional agreement, no further costs shall arise for the Client in connection with cooperation with beppo.

6. Data Processing

beppo collects expense compensations and fuel invoices in the name of its Clients. In this context, beppo processes and stores photographs and license plate numbers of unlawfully parked and refueling vehicles. beppo also stores the date, location, and time of the respective violations, as well as the names and contact details of vehicle keepers, persons who contact beppo in connection with such violations, and persons who have signed an acknowledgment of debt. Upon request, beppo shall provide these documents and information to its Clients and the responsible authorities. By signing the contract, Clients authorize beppo to process this data.

Further provisions on data processing, including the request for account deletion, are set out in beppo’s currently valid privacy policy.

7. Ownership and Copyright

All materials provided to the Client remain the property of beppo, including the beppo App installed on the Client’s technical device. beppo is the owner and author of the beppo App. All rights to the beppo App, in particular its disclosure to third parties, are reserved by beppo. The Client undertakes to treat all information confidentially and not to disclose it to third parties without the express written consent of beppo.

8. Authority of Representation

For the performance of services and, in particular, processing within the framework of a beppo-specific service, all persons authorized by the Client for this purpose shall be deemed duly authorized to represent the Client. The Client bears the risk of insufficient authority of representation or lack of legitimation of the persons authorized by it.

9. Limitation of Liability

To the extent permitted by law, beppo’s liability for slight negligence is excluded. This shall not apply to personal injury. In cases of gross negligence and intent, beppo shall be liable in accordance with statutory provisions. Liability for indirect damages, loss of profit, or consequential damages is excluded.

10. Written Form Requirement

Any amendments or supplements to this agreement must be made in writing to be valid.

11. Severability Clause

Should any provision of this contract or any annex thereto be or become invalid, the validity of the remaining provisions shall remain unaffected. The contracting parties shall replace the invalid provision with a valid provision that comes as close as possible to the intended economic purpose of the invalid provision. The same shall apply to any contractual gaps.

12. Applicable Law

Austrian substantive law shall apply.

13. Place of Jurisdiction

For legal disputes with entrepreneurs, Dornbirn is agreed as the exclusive place of jurisdiction.
